Independent Contractor Driver Agreement

This Independent Contractor Driver Agreement ("Agreement") is entered into between Order Some Grub ("OSG," "Company," "we," or "us") and the individual completing driver registration ("Driver," "Contractor," or "you"). By registering as a driver, accepting delivery offers, or otherwise using the OSG driver platform, you agree to be bound by this Agreement.

1. Independent Contractor Status

• You are an independent contractor, not an employee, agent, joint venturer, or partner of OSG. Nothing in this Agreement creates an employment relationship.
• You have the right to control the manner and means by which you perform delivery services, including your own vehicle, route, and schedule, subject to reasonable platform requirements described below.
• You are free to accept or decline any delivery offer and to use other delivery or ride-share platforms simultaneously, including competitors.
• You are solely responsible for your own federal, state, and local income taxes, self-employment taxes, and any related filings. OSG will issue a Form 1099 (or applicable equivalent) if your annual earnings meet the reporting threshold.
• Nothing in this Agreement entitles you to employee benefits such as health insurance, workers' compensation, unemployment insurance, or paid leave, except where required by applicable law.

2. Eligibility and Onboarding

To become and remain an active Driver, you must:

• Be at least 18 years old and legally authorized to work in the United States;
• Hold a valid driver's license and valid vehicle registration and insurance meeting or exceeding state minimum requirements;
• Pass any background check required by OSG or applicable law;
• Maintain a vehicle in safe, legal operating condition;
• Complete Stripe Connect Express onboarding for payout purposes.

3. Nature of Services

You agree to use commercially reasonable efforts to accept and complete delivery offers you choose to take, in a timely and professional manner; pick up orders accurately from the designated restaurant and deliver them to the address specified; handle food and merchandise safely and hygienically during transport; and communicate promptly with customers and OSG support regarding delivery issues.

You are not required to accept any minimum number of delivery offers, work any minimum hours, or maintain continuous availability.

4. Payment and Payouts

• You will be paid per completed delivery based on the rate shown for each offer at the time you accept it, plus 100% of customer tips.
• Payouts are processed through Stripe Connect Express. You are responsible for maintaining accurate, up-to-date banking and tax information.
• OSG does not guarantee minimum earnings, a minimum number of delivery offers, or continuous work availability.
• You are responsible for all costs of providing delivery services, including fuel, vehicle maintenance, mobile data, and tolls.

5. Vehicle and Insurance

You represent that you maintain insurance coverage as required by the state(s) in which you operate, applicable to your use of a personal vehicle for delivery purposes. OSG does not provide vehicle insurance, and you assume all risk of loss, damage, or liability arising from your operation of a vehicle while providing delivery services.

6. Conduct Standards

While using the platform, you agree to comply with all applicable traffic laws; treat customers, restaurant staff, and other drivers with courtesy and respect; not consume alcohol or controlled substances before or during delivery activity; not discriminate against customers or merchants on any legally protected basis; and not subcontract deliveries under your account.

7. Ratings, Deactivation, and Appeals

Customers and merchants may rate completed deliveries. Consistently low ratings, high cancellation rates, or verified complaints may result in reduced offer volume or deactivation. OSG may deactivate your account for safety concerns, fraud, or policy violations. You may appeal by contacting support@ordersomegrub.com. You may deactivate your own account at any time.

8. Confidentiality

Customer information (names, addresses, phone numbers, order details) accessed through the platform is confidential and may only be used to complete the specific delivery. You may not retain, share, sell, or use customer data for any other purpose.

9. Indemnification

You agree to indemnify and hold harmless OSG and its owners, employees, and affiliates from claims, damages, fines, or expenses arising from your negligent or wrongful acts; your violation of this Agreement or applicable law; or any accident, injury, or property damage occurring during your provision of delivery services.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OSG'S TOTAL LIABILITY TO YOU ARISING FROM THIS AGREEMENT OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID TO YOU BY OSG IN THE THREE (3) MONTHS PRECEDING THE CLAIM. OSG IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

11. Governing Law

This Agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
